Terms & privacy.
These terms govern the ClearPath website, company and distributor stores, project workspaces, research-product information, messages, documents, invoices and account tools.
Operator & acceptance
ClearPath Innovations, LLC, a Wyoming corporation, operates this service. By creating an account, accepting an order or using the workspace, you agree to these terms and the applicable order or engagement agreement. You must be at least 18, able to enter a binding agreement and authorized to act for any organization you represent. A separate signed agreement or order confirmation controls its specific services, price and scope if it differs from these general terms. Mandatory legal rights remain unaffected.
Accounts & access
Provide accurate information and protect your credentials, recovery material and payment links. A shop contact email may differ from the account's sign-in email; changing shop details does not transfer account ownership. You are responsible for authorized activity through your account and must promptly report suspected misuse. Administrators may verify information, restrict publication or suspend access for security, unlawful activity, material misrepresentation or breach. Registration does not itself approve a product, professional engagement or financial transaction.
Stores, products & publication
The company collection and an individual distributor storefront are distinct. An account may manage more than one shop. Products remain subject to their own active status, availability, access permissions and publication decisions. Hiding an item from a storefront does not cancel an existing order or erase its records. ClearPath may correct listing errors or decline an unaccepted order; any amount already collected for a declined order will be addressed under the applicable payment and refund terms.
Product descriptions, images, counts, formats, prices and included items must be read together with the current label and written order confirmation. Some photographs are illustrative or generated product concepts; the confirmed supplied model, packaging and accessories govern the order. A pictured accessory is not included unless the confirmed order expressly includes it. The invoice or order confirmation identifies the contracting seller and fulfillment terms. ClearPath company-store invoices are issued by ClearPath Innovations, LLC.
Research products & equipment
Research and development information is not individualized medical advice, a prescription or a promise of clinical benefit. Review the intended use, ingredients, current lot records, certificate of analysis, handling requirements and destination rules with a qualified physician or institutional research lead. A filing, registration, laboratory report or certificate is not by itself public marketing approval or proof of clinical efficacy. Distributor access does not establish authorization for a regulated use.
Nebulizer hardware may be selected by the manufacturer for a confirmed order. Obtain the actual model's specifications, approved liquids, accessories, instructions and applicable regulatory documentation. Hardware availability or a product image does not establish suitability for inhaling an exosome formulation. No absorption, therapeutic or compatibility claim is made merely by listing a device alongside a research product. Do not treat a research designation as permission for an otherwise unauthorized use.
Orders, shipping & receiving
Prices are in the currency identified on the order. Shipping, duties, taxes, insurance, cold-chain arrangements and any additional charge must be confirmed where applicable before fulfillment. International inquiries do not guarantee shipment to every country. Availability, import rules, carrier conditions and receiving requirements may limit a destination. Estimated delivery dates are estimates unless expressly agreed otherwise. Provide an accurate delivery address and arrange suitable receiving and storage. Report damage, incorrect items or a cold-chain concern promptly and retain packaging and delivery records.
Cancellations, refunds & disputes
Request a correction or cancellation promptly using the contact below. The accepted order, fulfillment status, product handling requirements, payment-provider rules and applicable law determine available remedies. Do not return temperature-sensitive or regulated goods without instructions. Refunds, when due, are recorded separately from referral earnings and may require reversal of associated allocations. Nothing here excludes a refund or other remedy that the law requires. Contact ClearPath before making a duplicate payment.
Projects & professional engagements
The project and fund-recovery tools organize information, people, supporting files, tasks and review decisions. Opening or submitting a project does not guarantee recovery, financing, grant eligibility, an award, legal representation or a particular outcome. Project review is separate from payment approval and identity verification. Legal representation, custody or management of funds, recovery services and any paid engagement require separate written terms with the responsible parties. Use the platform only for funds, assets and organizations you have authority to represent, and supply accurate source-of-funds and ownership information when requested.
Project representatives and linked groups receive access according to the project's permissions. Add people and share records only with proper authority and consent. An account owner or Administrator may change roles, agreed allocations, access and project status. Closing a project retains its history. A KYC PDF records information submitted by an account holder; generation alone is not independent verification, approval or a guarantee of legal compliance. Using a website or applying an attorney-client label does not alone create an attorney-client relationship or privilege.
Representatives, referral codes & next-day payouts
Valid codes associate eligible sales with the applicable distributor or representative. Attribution, approved products, product-specific discounts and the applicable written compensation terms determine the allocation. Percentage and fixed-dollar entries are accounting instructions, not permission to withdraw another person's funds. Discounts do not stack unless expressly stated. Reversed, refunded, disputed, fraudulent, self-referred or otherwise ineligible transactions may be excluded or corrected under the applicable agreement.
References to next-day payout describe ClearPath's processing schedule for eligible earnings after the underlying payment is confirmed, available and approved for release. They do not promise next-calendar-day receipt for every sale. Bank clearing, ACH verification, processor reserves, identity review, reversals, network conditions, weekends and holidays may affect timing. A queued payout or internal earnings entry is not proof that an external transfer has completed. No earnings, referral volume or business outcome is guaranteed. Representatives are responsible for lawful, accurate promotion, required referral disclosures and their own applicable tax obligations.
Invoices & payment links
Invoices identify the amount requested and available payment methods. A payment link may be accessible without an account if configured that way. Anyone holding such a link may be able to view its billing details; share it privately. A valid guest distributor code can create an invoice without creating a member account. Review the product, quantity, bill-to details, discounts, currency and amount before authorizing payment. Creating, opening or submitting an invoice is not itself proof of payment.
Cards, ACH, wire & digital assets
Card and US bank account details entered in the payment form are transmitted to the payment provider for processing. ClearPath does not store the complete card number, security code or complete bank account number entered in those provider-hosted fields. Optional KYC banking records are separate. Authorize only payments you have permission to make. Additional verification or authentication may be required. ACH authorization, initial acceptance and bank settlement are separate events; a pending payment may fail or be returned.
Wire and digital-asset payments must use the invoice's current receiving details. Verify the currency, blockchain network, address, destination tag and amount before sending. Fees, exchange-rate changes and network delays may apply. Blockchain transfers may be irreversible. A submitted receipt or transaction hash is pending verification until confirmed. Refund eligibility does not guarantee that a blockchain transfer itself can be reversed. Payment-provider terms also apply to their services.
Account balances & wallets
Workspace balances are internal accounting records of confirmed activity and adjustments. They are not a bank deposit, insurance, a guarantee of immediate cash availability or a promise of investment returns. USD credit, a displayed Bitcoin equivalent, a treasury reading and a confirmed blockchain balance are different records. Connecting a wallet does not by itself authorize a transfer. External wallet transfers require the relevant holder's authorization and a payment reference when recorded as completed. Withdrawal requests and queued allocations remain separate from completed external payments.
A hosted Bitcoin wallet may generate a BIP39 recovery phrase and BIP84 receiving address. Recovery material is stored encrypted by the service and may be displayed after an account password check. This is not a hardware wallet. Keep the recovery phrase private and retain it securely; possession can allow control of the related Bitcoin. Creating a wallet does not fund it, convert an internal credit or execute a payout. Third-party wallet, network and exchange-rate services may be delayed or unavailable.
Files, messages & intellectual property
Upload only material you may lawfully hold and share. Retain your own originals. Do not upload malicious code, unlawful content, material infringing another person's rights or confidential records without authority. File-type, size and access restrictions apply. You retain ownership of your submitted material and grant ClearPath the limited rights needed to store, display, process and share it as you direct for service operation. ClearPath and its licensors retain rights in their branding, software and licensed materials. Product documents may carry additional confidentiality or use restrictions.
Messages, group discussions and project conversations are operational records. Access follows account, project and group permissions. Do not assume an ordinary workspace message is a legally privileged communication. ClearPath may retain relevant records for review, financial history, security, disputes and legal obligations; removing public access or closing an account does not necessarily erase those records.
Privacy: information and purposes
We process the contact, organization, project, identity, banking-profile, shipping, document, product, representative, invoice and message information you submit, along with relevant account activity, session data, payment references and security logs. We use it to operate accounts and stores, fulfill accepted orders, organize projects, verify access and payments, communicate, maintain records, prevent misuse and meet applicable obligations. Provide only information appropriate to the service and avoid sending complete payment-card credentials through files or messages.
Privacy: access and service providers
Authorized Administrators can review workspace records. Project representatives and group members may see information shared within their authorized project or group. Approved public storefronts and product listings can be viewed by visitors when enabled. Hosting, email, payment, wallet and other service providers may process information needed to deliver their services, including across national borders. Blockchain addresses and transactions may be public. We may disclose records when required by law or reasonably necessary to protect rights, prevent misuse or resolve disputes.
Privacy: retention, rights and security
We retain information as reasonably needed for service delivery, financial history, security, disputes and applicable obligations. Contact us to request access, correction, restriction or deletion of your information, subject to identity checks and legal retention requirements. Depending on where you live, additional privacy rights may apply. Essential cookies support sign-in, form security and workspace preferences. Passwords are stored as one-way hashes; access controls and encryption are used where implemented. No online service guarantees absolute security. Report suspected unauthorized access promptly.
Availability, responsibility & changes
We may maintain, update or temporarily restrict the service. Availability and third-party integrations are not guaranteed to be uninterrupted or error-free. You remain responsible for checking submitted instructions, lawful authority, current order terms and important transaction details. To the extent permitted by applicable law, ClearPath is not responsible for indirect or consequential loss caused by circumstances outside its reasonable control. Nothing excludes liability, statutory rights or remedies that cannot lawfully be excluded, including liability for fraud or willful misconduct.
Wyoming law governs these general terms to the extent permitted, without displacing mandatory laws applicable to you or a particular transaction. Disputes may be brought before a court with proper jurisdiction; no mandatory arbitration is imposed by these terms. Updated terms will be posted with their effective date. Material changes do not retroactively rewrite an accepted order or signed engagement, and additional consent will be requested where required.
